Your transaction is managed by our third party payment partner, Shopify, using their secure online payment facilities. We do not store credit card details.

Maintaining password and account confidentiality If you choose to create an account at our Shopify store, you are responsible for creating a secure password when you initially register at the site, and for maintaining the confidentiality of your password to protect your personal details and prevent unauthorised access to the site. If you believe that your password has become compromised you must contact us as soon as possible and (subject to security checks) we will change your password. We will not be responsible to you if there is unauthorised access to your subscription details as a result of your password becoming compromised.

3. Use of Research Reports This website may from time-to-time make available to you both Complimentary (free) and Paid-for Research Reports, under the following terms:
3.1 Each Report is made available solely and exclusively for your own use. Distribution of any Report to any other individual, including employees of your organization and professional advisors, is strictly prohibited without the prior written permission of Webster Buchanan. If you wish to distribute any Report to named individuals within your organization please contact us - in some instances this may require a group license.
3.2 If you purchase a Paid-for Report, you will be given access to a PDF version of the Report to download or print out within one business day of your purchase.
3.3 If you are not satisfied that your purchase meets your business requirements, we offer a 24-hour refund policy up to the full value of the report. Simply contact us within 24 hours of the time that we emailed the PDF version of the Report to you - or in the case of downloadable PDF Reports, within 24 hours of the the time you were given access to the Report - and confirm that you have destroyed the PDF version of the Report without distributing it to any third party, and that no print or electronic copies of the report have been made. We will refund the full value of your booking (subject to currency fluctuations).

4. Web seminars This website may from time-to-time host both Paid-for and Complimentary (free) Web Seminars under the following terms:
4.1 If you register for or pay for a live Web Seminar, you may allow a total of three people employed directly by your organization (including yourself) to listen in to the seminar with you, providing that they all use the same telephone dial-in and website log-in. It is not permissible to allow third parties (such as professional adviser and consultants) to listen to the Web Seminar.
4.2 If you register for a recorded Web Seminar, you may not pass on any weblinks or passwords that enable access to the recording to any other individuals or organizations.
4.3 By participating in any Complimentary or Paid-for Web Seminar, you agree to all of the Terms and Conditions described herein, including but not limited to Privacy and use of data (Section 1), Maintaining password and account confidentiality (Section 2), Intellectual Property (Section 6), Disclaimer (Section 7), Warranty & Indemnity (Section 8) and General Provisions (Section 10).
5. Membership of Webster Buchanan's Global Payroll Research Network Webster Buchanan’s Global Payroll Research Network ("GPRN" or “the Network”) brings together senior international HR, finance and payroll professionals to share experiences, access research reports and enjoy other benefits made available by Webster Buchanan from time to time, under the following terms:
5.1 Webster Buchanan offers three levels of membership in accordance with these Terms & Conditions: Standard (complimentary), Executive and Vendor. The benefits of each level of membership are described here on our website.
5.2 Members may be given access to some or all GPRN Research Reports. GPRN Research Reports consist of reports developed specifically for members of the Network: these include commentary on issues in the global payroll market, as well as the findings of qualitative research studies carried out among small numbers of senior international payroll managers. Membership of the Network does not give you complimentary access to Webster Buchanan's Premium Research publications - which include Webster Buchanan's Global Payroll Vendor Review, our in-depth independent analysis of leading outsourcers - although some types of membership may offer discounts on the purchase price of these reports.
5.3 In return for these benefits, if you apply for Standard or Executive Membership you agree to make yourself available for a telephone interview with a Webster Buchanan research analyst at least two times per year to participate in a research project. Each interview will last approximately 45 minutes, and will be carried out anonymously unless you specifically agree in writing (by email) to be named. Information obtained from these interviews will be published, anonymously, in Webster Buchanan research reports.
5.4 During Network activities, Webster Buchanan and other members may be willing to disclose confidential, proprietary and valuable information relating to their business activities. The term “Confidential Information” means any and all information disclosed by Webster Buchanan and the members which is either identified as confidential or proprietary or should be reasonably understood to be confidential or proprietary. You agree as follows:
- You shall not disclose any Confidential Information without the written consent of the disclosing party
- This agreement imposes no obligation upon you with respect to Confidential Information which you can establish by legally sufficient evidence: (a) was previously and legally in your possession, or was rightfully known by you, without an obligation to maintain its confidentiality prior to receipt (b) is or becomes generally known to the public without violation of this agreement; (c) is obtained in good faith from a third party having the right to disclose it without an obligation of confidentiality; or (d) is independently developed without the use of or reference to the Confidential Information.
- You may disclose Confidential Information in accordance with valid judicial or other governmental order, provided that you shall have given the disclosing Party reasonable notice and opportunity to object prior to such disclosure, will seek confidential treatment of the information disclosed and shall comply with any applicable protective order or equivalent.
- You do not acquire any license rights, title or interest in the Confidential Information
- With the exception of information that is the intellectual property of your company, Webster Buchanan may use information provided by you and other members during Network activities in a generic, anonymous form to generate content for its research reports and other business activities.
5.5 By participating in any Network activity, you agree that any information you disclose is disclosed entirely at your own risk, and in no event will Webster Buchanan, its affiliates, and its and their directors, officers, employees, agents, successors and assigns be liable for any breach of confidentiality regarding the information disclosed, or for any indirect, incidental, consequential, special, or exemplary damages of any nature or kind whatsoever, including but not limited to lost profits or other economic loss related thereto, even if Webster Buchanan was aware of such damages.
5.6 Membership of the Network is available only by invitation. Applications are assessed and approved or declined at the sole discretion of Webster Buchanan. Standard and Executive Membership is restricted to senior HR, payroll, finance and related professionals with responsibility for regional or global payroll, while Vendor Membership is available to global payroll service providers.
5.7 Your membership of the GPRN may be terminated by Webster Buchanan without notice at any time for any reason, including breach of these terms and conditions, at Webster Buchanan’s sole discretion. In the event that Webster Buchanan terminates your membership because of a breach of these terms and conditions, you agree that no refund will be made for any unexpired period of your membership.
5.8 By becoming a member of the Network, you agree to all of the Terms and Conditions described herein, including but not limited to Privacy and use of data (Section 1), Maintaining password and account confidentiality (Section 2), Use of Research Reports (Section 3), Intellectual Property (Section 6), Disclaimer (Section 7), Warranty & Indemnity (Section 8) and General Provisions (Section 10).
6. Intellectual Property Webster Buchanan Research shall retain full ownership and control over all material and content created, published or broadcast by Webster Buchanan through or in connection with this website, including but not limited to Research Reports, blogs, articles, presentation slides, Web Seminars, methodologies and consulting tools. All right, title and interest in any and all content, material, text, designs, copyrights, trade secrets, and any other intellectual or industrial property created through or in connection with the website, including any audio, visual, electronic or digital components thereof, shall be Webster Buchanan's sole and exclusive property except to the reasonable extent that its use and disclosure is permitted under the terms of this agreement. The re-distribution, re-publication, or otherwise making available of material created, published or broadcast on this website to third parties without Webster Buchanan's prior written consent is prohibited.

9. Service interruptions and compatibility Webster Buchanan cannot guarantee that use of the website will be compatible with all hardware and software which may be used by members or visitors to the site.
All services are provided on an “as available” basis. Webster Buchanan makes no warranties, express or implied under this agreement, including without limitation that any online services and materials will be complete or free from errors or free from service interruptions whether caused by website downtime or for any other reason.
10. General Provisions
10.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all other agreements, promises, representations and negotiations, whether written or oral, between the parties regarding the subject matter of the Agreement. All modifications to this Agreement, and waivers thereof, shall be in writing and signed by both parties.
10.2 Governing Law. This Agreement shall be governed by and construed under the laws of England. The parties hereto agree that jurisdiction and venue for all actions arising from this Agreement shall be London, England, and you agree to submit to such jurisdiction.
10.3 Legal Fees In any action hereunder, the prevailing party shall be awarded its reasonable attorneys' fees and costs.
10.4 Severability If one section or part of this Agreement is found to be void or unenforceable, it shall not alter the legality or effect of the remaining sections of this Agreement.
10.5 Termination The clauses in this Agreement which expressly or impliedly have effect after termination of this Agreement will continue to be enforceable notwithstanding termination.
10.6 Use of the website We reserve the right at all times to monitor your use of the website to ensure compliance with these terms and conditions.
