Terms and Conditions

The terms and conditions below govern the purchase of paid-for Research Reports and registration for Web Seminars and Events (including Summits, Conferences, Seminars and Workshops), as well as the download of free reports and other content. These terms and conditions apply to products and services provided by Webster Buchanan Research Ltd and its subsidiaries Webster Buchanan Research Inc and Webster Buchanan Research Pte Ltd (collectively referred to as 'Webster Buchanan').

1. Our commitment to your privacy and security
Our visitors and delegates’ right to privacy and the security of their personal and financial data is of paramount importance to Webster Buchanan Research.

All personal information provided by visitors is treated in the strictest confidence under the terms of the UK Data Protection Act 1998 and any relevant subsequent legislation. Data is stored on servers in the United States of America by a reputable third party hosting company under contract to Webster Buchanan Research Inc, a wholly-owned subsidiary of Webster Buchanan Research Ltd, and appropriate technical and organizational measures have been taken to prevent unauthorized or unlawful processing and disclosure of personal data.

If you use our online payment service at Webster Buchanan’s store, once you complete the preliminary steps of the ordering process, your transaction will be managed by one of our third party payment partners, Barclaycard Business and Paypal, using their secure online payment facilities.

If you register for an Event or purchase a Research Report and elect to pay by invoice rather than through our online payment service, relevant details such as your name, email address, physical address and/or telephone number may be shared in confidence with our third party accounting service provider for the sole purpose of collecting and processing payment.

If you register for an Event, relevant personal details such as your name, email address, physical address and/or telephone number may be shared in confidence with our third party event organizer for the sole purpose of enabling it to assist in the preparation and execution of the Event and to keep you informed of issues relating to the Event.

We will not disclose your name, company details, email address, or any other personal information to other third parties except:
- To our professional advisers for the purpose of obtaining professional advice
- To third party partner(s) who manage our website under the terms of a confidentiality agreement
- To fellow delegates attending any Summit that you attend, in which case only limited details will be disclosed as outlined in clause 4.9 below
- To a purchaser in the event of a sale of the whole or a relevant part of our business
- Where required to satisfy any applicable law, regulation, legal process or governmental request.

We reserve the right at all times to monitor your use of our service to ensure compliance with these terms and conditions. We also reserve the right to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

2 Research reports
2.1 Terms of purchase. If you purchase a report, you will be given access to a PDF version of the report to download or print out within approximately 24 hours of the time of your purchase.

2.2 The report may be distributed to up to five interested individuals within your organization, on the strict understanding that it is used by each individual for their personal use and is not further distributed. Distribution of the report to any other third party, including advisors, is strictly prohibited.

2.3 Refund policy. If you are not satisfied with your purchase for any reason, we offer a 7-day refund policy up to the full value of the report. Simply let us know within 7 calendar days of the date of your payment, and we will refund the full value of your booking (subject to currency fluctuations). In the event of a refund, you will be required to destroy all electronic copies of the report in your organization’s possession.

2.4 In purchasing any of our research reports, you agree to the Intellectual Property, Disclaimer and all other relevant terms outlined in these Terms and Conditions (see below).

3 Web seminars
Paying a single sign-up fee for attendance at one of our web seminars entitles up to three people to attend from the same organization at the same location, providing that they use the same telephone line and website log-in.

We offer a discount scheme for organizations to enable representatives to attend from more than one location, provided all participants book at the same time. The fee for attendees at a second and all subsequent locations is priced at 50% of the fee charged for the first location, with up to three people from the organization entitled to attend at each location.

As detailed below, Webster Buchanan shall retain full ownership and control over all material and content created, published or broadcast by Webster Buchanan and its guests during web seminars.

4 Webster Buchanan Events
By registering as a delegate to any event run by Webster Buchanan (including Summits, Conferences, Seminars and Workshops), you agree to the following terms:

4.1. Cancellation of part of or the entire event
Circumstances outside the control of Webster Buchanan, including but not limited to strikes, acts of terrorism, earthquake, disruption to air, rail, road or other transportation, fire, flood and Acts of God may require Webster Buchanan to cancel part of or the entire event. If the entire event is cancelled, Webster Buchanan will offer at its own discretion either a refund amounting to no more than 50% of the full fee paid or substitution with a similar event at a future date. If the event is cancelled or otherwise curtailed after the first session has begun, no refund will be paid.

Webster Buchanan Research and its partners will not be liable under any circumstances for any financial or other loss you may incur through the cancellation of part or all of any event, including but not limited to transportation and accommodation costs.

4.2. Changes to Agenda
Webster Buchanan publishes a provisional Agenda outlining planned speakers and an overview of the content they will cover. The presenters and content are both subject to change in the event of illness or other unavoidable circumstance.

4.3 Cancellation of your booking
Webster Buchanan can only accept cancellation in writing up to 30 days prior to the event date. Refunds cannot be made where less than 30 days' notice is received, although we welcome appropriate substitutions.

4.4 Payment terms
Payment is due in full by credit card at the time you book, or if you choose to pay by invoice, within 30 days of receipt of invoice or two weeks before the event begins, whichever is sooner.

4.5. Confidentiality (during Confidential Clinics only)
All activities during Confidential Clinic Sessions will be conducted in strict confidence in order to allow members to speak freely. You agree not to disclose the details of any Clinic proceedings or discussions during or after the event without the written permission of a director of Webster Buchanan Research. You also agree that Webster Buchanan may draw from the Clinic sessions anonymously to generate content for its research and other activities. Any such material will be presented in such a way that the identity of delegates and any information attributable to individuals or companies will not be disclosed.

4.6. Warranty
You represent and warrant that in contributing to or participating in the event you shall not: libel, slander or defame any third-party; publish, disclose or reveal any confidential or proprietary information of any third-party; violate or infringe any valid rights, including intellectual property rights, of any third-party; violate any law or other government regulation; violate any other agreement to which you are a party.

4.7 Admission to event and individual sessions
All events are conducted on an invitation-only basis, and Webster Buchanan reserves the right to refuse admission to any individual at its sole discretion. In order to encourage free discussion, admission to some event sessions (such as confidential pre-conference clinics run during Webster Buchanan Research Summits) may be reserved for payroll practitioners and invited guests only.

4.8 Video and Photography.
Webster Buchanan may take photographs and record video during Summit sessions, networking sessions and our Awards Dinner. You agree that your image may be used by Webster Buchanan to accompany articles published on any website owned by Webster Buchanan, and in marketing collateral for future events.
 
4.9 Delegate list
In order to facilitate networking at the event, your name, job title and organization name will be listed in a hard copy (paper) delegate list, which will be distributed to all attendees shortly before and during the event. Other personal details - such as your email address, telephone number, address etc - will NOT be distributed on the delegate list

4.10 Hotel accommodation
Webster Buchanan may take out a block booking with hotels in the vicinity of its Summits in order to assist delegates in finding accommodation. The rates offered by these hotels will be at a group booking rate, which is usually at a discount to the standard rate - however, because hotel rates vary over time, on occasions you may be able to secure a better rate through other means (e.g. special deals on the hotel website).
You are under no obligation to book with these hotels when you attend a Summit.
If you use the block booking rate arranged by Webster Buchanan, you will be contracting directly with the hotel, and Webster Buchanan will not be a party to any contract you enter into. You will be responsible for taking all necessary steps to ensure that the hotel meets your accommodation needs and standards. You are solely and exclusively responsible for all payments due to the hotel and for adhering to the hotel's terms and conditions, including its cancellation policy.
In no event will Webster Buchanan, its affiliates, and its and their directors, officers, employees, agents, successors and assigns, be liable for any indirect, incidental, consequential, special, or exemplary damages of any nature or kind whatsoever in relation to the hotel accommodation, even if Webster Buchanan was aware of such damages.

4.11 Other terms
When participating in any of our events, you agree to the Intellectual Property, Disclaimer and all other relevant terms outlined in these Terms and Conditions (see below).

5 Intellectual Property
Webster Buchanan Research shall retain full ownership and control over all material and content created, published or broadcast by Webster Buchanan, including but not limited to material and content published or sold on this Website (including Research Reports), material or content broadcast in Web Seminars, and material or content provided during Events (including Summits, Conferences, Seminars and Workshops). All right, title and interest in any and all content, material, text, designs, copyrights, trade secrets, and any other intellectual or industrial property created through or in connection with this Website, Research Reports, Web Seminars and Events, including any audio, visual, electronic or digital components thereof, shall be Webster Buchanan's sole and exclusive property except to the reasonable extent that its use and disclosure is permitted under the terms of this agreement. The re-distribution, re-publication, or otherwise making available of the material on this website to third parties without our prior written consent is prohibited.

6 Disclaimer
Webster Buchanan is not responsible for any errors or omissions in the information or content provided by Webster Buchanan on this Website, in Research Reports, during Web Seminars, or during Events (including Summits, Conferences, Seminars and Workshops), or for the results obtained from the use of such information or content. You and your company assume the entire risk of the accuracy of such content and/or information.

Webster Buchanan is not responsible for information provided by or opinions expressed by any third parties on this Website, in Research Reports, during Web Seminars, or during Events.

This information and content is provided on the strict understanding that Webster Buchanan is not engaged in rendering professional advice and services of any description. 7.General Provisions
7.1 Entire Agreement.
This Agreement constitutes the entire agreement between the parties and supersedes all other agreements, promises, representations and negotiations, whether written or oral, between the parties regarding the subject matter of the Agreement. All modifications to this Agreement, and waivers thereof, shall be in writing and signed by both parties.

7.2 Governing Law.
This Agreement shall be governed by and construed under the laws of the United States. The parties hereto agree that jurisdiction and venue for all actions arising from this Agreement shall be San Francisco, California, United States, and you agree to submit to such jurisdiction.

7.3 Legal Fees
In any action hereunder, the prevailing party shall be awarded its reasonable attorneys' fees and costs.

7.4 Severability
If one section or part of this Agreement is found to be void or unenforceable, it shall not alter the legality or effect of the remaining sections of this Agreement.
